1.Agreement and eligibility

These Terms of Service ("Terms") govern access to the TukaSolutions CortexAI website and platform (the "Service") provided by TukaSolutions LLC, a Pennsylvania, USA limited liability company ("TukaSolutions", "we", "us").

The Service is for business use. By using it, you confirm you are at least 18 years old and authorized to bind the organization on whose behalf you act ("Customer").

2.Service, subscriptions and order of precedence

Access to the platform, including scope, users, features and term, is subject to an executed order form, master services agreement or similar signed agreement (the "Customer Agreement"). If these Terms conflict with a Customer Agreement, the Customer Agreement prevails.

3.Accounts and credentials

Customer is responsible for its users, for keeping account and connector credentials (including API keys and integration tokens) secure, and for activity under its accounts. Notify us promptly at privacy@tukatek.com of any suspected unauthorized access.

4.Acceptable use

You will not use the Service to:

  • Process data you have no right to use, or violate any law or third-party right.
  • Make unlawful discriminatory decisions, including in employment, credit, housing or immigration contexts.
  • Record or transcribe calls or meetings without the notices and consents required by law.
  • Interfere with, probe or circumvent the security or integrity of the Service.
  • Distribute malware, spam or deceptive content, or impersonate others.

Customer is responsible for determining whether its use involves regulated data and for meeting related obligations. Unless expressly stated in a signed agreement, we do not represent that the Service is configured for protected health information, and no business associate agreement is in place by default.

5.AI outputs and human review

AI outputs can be inaccurate, incomplete or inappropriate for a given situation. Customer must review outputs before relying on them. The Service does not provide legal, financial, tax, medical or immigration advice, and we do not guarantee any filing, approval, decision or outcome.

Customer is responsible for approving actions taken by agents or automations, such as sending communications or submitting documents, before they occur or as configured by Customer.

6.Customer content and outputs

As between the parties, Customer owns the data and materials it submits ("Customer Input"). Customer grants us a limited license to host, process and transmit Customer Input only as needed to provide, secure and support the Service and as directed by Customer.

To the extent permitted by law, Customer owns outputs generated for it, and we assign to Customer any rights we may have in them. Outputs may not be unique, and similar outputs may be generated for others.

We do not use Customer Input or outputs to train AI models.

7.Our intellectual property

We and our licensors retain all rights in the Service, software, documentation and brand. Except for the limited rights granted to use the Service, no rights are transferred. Feedback may be used without obligation.

8.Third-party tools

The Service may interoperate with third-party applications, connectors or models that Customer enables. Their use is governed by the third party's terms, and we are not responsible for their availability, security or conduct. Enabling a connector authorizes data exchange with that service.

9.Fees, renewals and cancellation

Pricing, billing, renewals, cancellation and any refunds apply only as expressly set out in an executed order or Customer Agreement. Browsing this website does not create a subscription or any automatic renewal obligation.

10.Confidentiality

Each party will protect the other's non-public information with at least reasonable care, use it only to perform under these Terms or the Customer Agreement, and disclose it only to those with a need to know who are bound by similar obligations, or as required by law.

11.Security and data protection

We maintain reasonable security measures designed to protect the Service and Customer Content. Processing of personal data on Customer's behalf is governed by our Data Processing Addendum once incorporated into a Customer Agreement, and by our Privacy Policy for website data.

12.Availability

We work to keep the Service available but do not provide any service level commitment unless one is set out in a signed agreement. Maintenance and factors outside our control may affect availability.

13.Suspension and termination

We may suspend access in a manner proportionate to the issue, with notice when practicable, where reasonably necessary to address a security threat, unlawful use or a material breach.

Either party may terminate for the other's material breach not cured within 30 days of written notice, except that immediate action may be taken where required by law or to address unlawful activity or a security necessity. Data export and deletion on termination follow the Customer Agreement and applicable law.

14.Limitation of liability

To the extent permitted by law, each party's aggregate liability arising from these Terms is limited to the fees paid or payable by Customer for the Service in the 12 months before the event giving rise to liability, or US $100 if no fees apply.

To the extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or lost profits or data.

These limits do not apply to liability for fraud, willful misconduct, or liability that cannot be limited under law. A signed Customer Agreement controls where it addresses liability differently.

Except as expressly stated, the Service is provided "as is," and we disclaim implied warranties to the extent permitted by law.

15.Governing law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law rules, and disputes will be brought in the state or federal courts located in Pennsylvania, subject to any mandatory rights under applicable law.

16.Changes and contact

We may update these Terms prospectively. For material changes we will provide notice before they take effect. Changes do not silently amend a signed Customer Agreement. Legal contact: TukaSolutions LLC, Pennsylvania, USA, privacy@tukatek.com.
